Terms of Service

1. Acceptance of Terms

By accessing or using Make Safety Easy ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Make Safety Easy is a cloud-based workplace safety management platform that provides incident reporting, toolbox talk management, inspection tracking, Workers' Comp/light duty management, document storage and compliance reporting tools.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4. User Accounts & Restrictions

4.1 Individual Use. Each User account is for a single named individual. Login credentials must not be shared between individuals. If multiple individuals require access to the platform, each must have a separate User account.

4.2 Account Sharing Prohibition. Sharing a single User account among multiple individuals is a violation of these Terms. We reserve the right to audit login activity and, upon detecting shared accounts, require the creation of additional User accounts at the applicable per-user rate.

4.3 Accuracy of User Information. You are responsible for ensuring that User accounts accurately reflect the individuals using the platform. Creating fictitious accounts or assigning accounts to individuals who do not use them is prohibited.

5. Subscription & Payment

5.1 Pricing Model. The Service is offered on a per-user, per-month subscription basis. "User" means any individual with a unique login to the platform dashboard. Workers who interact with the Service solely through QR code sign-off or kiosk interfaces ("Field Workers") are not counted as Users and are not billed.

5.2 Plans. Two plans are available: (a) Safety Platform at the then-current per-user rate; and (b) Safety + Construction Platform at the then-current per-user rate. Current pricing is published at makesafetyeasy.com/pricing and may be updated with 30 days written notice.

5.3 Billing. Subscriptions are billed monthly in advance in US Dollars (USD). Your monthly charge is calculated as the number of active Users multiplied by the applicable per-user rate. When a User is added, your billing is automatically adjusted on a pro-rated basis for the remainder of the current billing period. When a User is deactivated, your billing is reduced at the start of the next billing period.

5.4 Free Trial. New accounts include a 14-day free trial with full access to all features. No credit card is required to begin a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, access to the platform will be suspended, but your data will be retained per Section 10.

5.5 Payment Method. Payment is processed through Stripe, Inc. By subscribing, you authorize recurring charges to the payment method on file. You are responsible for maintaining current payment information.

5.6 Cancellation. You may cancel your subscription at any time. Upon cancellation, access continues until the end of the current billing period. No refunds are issued for partial billing periods. To cancel, contact admin@makesafetyeasy.com or use the billing management page within the platform.

5.7 Price Changes. We reserve the right to modify pricing with at least 30 days advance notice via email to the account owner. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Data Ownership

You retain full ownership of all data you enter into the platform. We do not sell, share or use your data for purposes other than providing the Service. You may export your data at any time.

7. Acceptable Use

You agree not to: use the Service for unlawful purposes, attempt to gain unauthorized access, interfere with the Service's operation or upload malicious content.

8. Service Availability

We target 99.8% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our control.

9. Limitation of Liability

9.1 Make Safety Easy is a tool to assist with safety management. It does not replace professional safety advice, regulatory compliance programs or qualified safety personnel. We are not liable for workplace incidents or regulatory penalties.

9.2 The Service is designed to assist with workplace safety documentation, compliance tracking and operational management. It does not constitute professional safety advice, engineering assessment, legal counsel or regulatory compliance certification. You are solely responsible for ensuring your workplace safety program meets all applicable regulatory requirements in your jurisdiction.

9.3 To the maximum extent permitted by applicable law, Make Safety Easy's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the amounts paid by you to Make Safety Easy in the twelve (12) months preceding the claim.

9.4 In no event shall Make Safety Easy be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, business opportunities or goodwill, regardless of the theory of liability.

9.5 You acknowledge that the Service is a documentation and management tool and that all safety decisions, compliance determinations and workplace procedures remain your sole responsibility. Make Safety Easy does not warrant that use of the Service will ensure compliance with any law, regulation or standard.

9.6 Indemnification. You agree to indemnify, defend and hold harmless Make Safety Easy, its officers, directors, employees, agents and affiliates from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any claim by a third party relating to your workplace safety practices; or (e) any data or content you submit to the Service.

9.7 The limitations and exclusions in this section apply to the maximum extent permitted by applicable law, including the laws of British Columbia and Canada. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages; in such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

10. Termination

Either party may terminate the agreement at any time. Upon termination, your data will be retained for 90 days, then permanently deleted unless you request an export.

11. Governing Law & Dispute Resolution

11.1 These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.

11.2 Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered under the rules of the British Columbia International Commercial Arbitration Centre, or in the courts of British Columbia, Canada, at the election of the claimant.

11.3 You agree that any claim or cause of action arising from these Terms or the Service must be filed within one (1) year after the cause of action arose, or be permanently barred.

11.4 Class Action Waiver. To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Make Safety Easy. If this waiver is found unenforceable in your jurisdiction, the entirety of this arbitration provision shall be void, and the dispute shall be resolved in the courts specified in Section 11.1.

11.5 Waiver of Jury Trial. To the extent permitted by law, both parties waive the right to a jury trial for any dispute arising under these Terms.

11.6 Injunctive Relief. Notwithstanding the foregoing, Make Safety Easy may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our intellectual property rights or confidential information.

12. Data Processing & Subprocessors

12.1 In providing the Service, we act as a data processor on your behalf. You remain the data controller for all personal information entered into the platform by your organization.

12.2 We use the following categories of subprocessors: cloud infrastructure providers (hosting and storage), email delivery services, payment processing (Stripe, Inc.) and analytics tools. A current list of subprocessors is available upon request.

12.3 We will notify you of any material changes to our subprocessors at least 14 days in advance via email to the account owner.
